ARTICLE 1: GENERAL ADMINISTRATION
Section 1.1 Name
The name of the organization shall be the "LOWER LEXINGTON SOCCER CLUB " (hereinafter referred to as the "Club").
Section 1.2 Purpose
The Club is a nonprofit association with our focus on the development of players in rural areas of Lexington and surrounding counties by providing them the opportunity to participate in competitive soccer at minimal participation fees.
Section 1.3 Affiliation
The Club will affiliate with the South Carolina Youth Soccer Association (SCYSA), member of Federation Internationale de Football Association (FIFA), and will adhere to the SCYSA rules, regulations, policies and procedures.
Section 1.4 Officers
The officers of the Club shall consist of no more than the following ten (10) officers who shall serve without compensation and shall constitute the Board of Directors of the Club (hereinafter referred to as the "Board"): President, Vice President, Secretary/ Treasurer, Registrar*, Director of Coaching, Training Coordinator, and up to four (4) Members-at-Large.
*One person may be both the Registrar and any other officer.
Section 1.5 Office
The principal office and address of the Club shall normally be the address of the Secretary/Treasurer. Initially, the office and address of the Club shall be in Lexington County, South Carolina.
Section 1.6 Seasonal Year
The seasonal year, for purposes of membership, team rosters, normal coaches assignments, and play, shall coincide with the seasonal year established by the SCYSA, which currently is from September 1 to August 31 of the following year.
ARTICLE 2: GENERAL MEMBERSHIP
Section 2.1 Membership
Members in the Club (hereinafter called "membership") shall consist of the following:
a. The immediate family of any soccer player who has registered with the Club and who has paid all current fees and membership dues (hereinafter called "membership family"); (Note: It is the membership family that is the member of the Club, and not the player or players individually nor each member of the player's family individually.)
b. Current coaches and assistant coaches of the Club who are not in a membership family;
c. Current officers of the Club who are not in a membership family;
d. Honorary members who are so designated by the Board for outstanding contributions or service to the Club.
Section 2.2 Dues and Fees
Membership dues and player fees, if any, will be determined and set annually by the Board.
Section 2.3. Meetings of the Membership
Section 2.3.1 Membership Meetings
An annual meeting for the purposes of electing Board officers, reporting Club business, and conducting any appropriate business shall normally be held in October of each year at a time and place designated by the president. Other membership meetings may be called by the president, by any other three (3) Board members, or by written request of twenty-five percent (25%) of the general membership. Notice of date, time, and place of any membership meeting shall normally be given not less than seven (7) days before that meeting. Proper notice can be given (1) by publication in the "community calendar" section of a local newspaper, (2) by mail or by phone call to all head coaches, (3) by mail or by phone call to team "phone trees", or (4) by any other method approved by the Board.
Section 2.3.2 Nomination and Election of Officers
At each annual meeting the Board, acting as a nominating committee, shall present a proposed slate of new officers to be voted on by the general membership. The Board may nominate one or more persons for each office. Nominations from the floor may be made provided the nominated person has previously agreed to serve if elected. Each officer shall be elected by receiving a simple majority of the valid votes cast for that office in the voting. In the event that no candidate receives a simple majority of valid votes cast, the candidates receiving the two highest numbers of votes, including ties, shall have a runoff in which one candidate shall be elected by a simple majority of valid votes cast.
Section 2.3.3 Voting
Each member present at a membership meeting shall be entitled to one vote. No one not present at the meeting will be allowed to vote, nor can a voter assign a vote to a proxy.
Section 2.3.4 Quorum
The members present at a duly called membership meeting constitute a quorum for the transaction of business.
ARTICLE 3: PLAYERS
Section 3.1 Importance
The Club recognizes that players are our most important assets. We want to instill in them the importance of fair play. We expect our players to play the game correctly, play hard, play to win and, most importantly, play fairly and with good sportsmanship. Player development is the mission of the club.
Section 3.2 Assignment to Teams
Players represent this Club and community and play at the sole pleasure of the Board. The Board assigns players to teams. The Board shall be under no obligation to explain or justify any decision regarding a player.
Section 3.3 Removal from Teams
In circumstances involving serious unsportsmanlike behavior by a player (such as, but not limited to, falsifying information, receiving two or more red cards during a season, using profane and abusive language, fighting, and the like), the Board, in its sole discretion, by a majority vote, and within the appropriate regulations of the SCYSA, may caution, suspend, or remove the player from a team.
Section 3.4 Parent's or Guardian's Behavior
In circumstances involving serious unsportsmanlike behavior by a parent or guardian of a player (such as, but not limited to, falsifying information, using profane or abusive language, fighting, and the like) the Board, in its sole discretion, by a majority vote, and within the appropriate regulations of the SCYSA, may caution, suspend, or remove the player from a team.
Section 3.5 Red Cards
If a player (or players) receives a red card, the coach should report the circumstances involving the card to the Board.
ARTICLE 4: COACHES
Section 4.1 Importance
The Club recognizes that, after players, coaches are our most important assets. We trust them to teach our youth the game of soccer and to instill in them the importance of fair play. We expect coaches to teach players to play the game correctly, play hard, play to win and, most importantly, play fairly and with good sportsmanship. We expect coaches to lead by example. Coaches are not to be paid, but can be reimbursed travel expenses to tournaments if team funds are available.
Section 4.2 Assignment to Teams
Coaches represent this Club and community and serve at the sole pleasure of the Board. The Board, by majority vote, assigns coaches for teams. Coaches are normally assigned to a team at the beginning of each seasonal year. The Board shall be under no obligation to explain or justify any decision regarding a coach.
Section 4.3 Removal from Teams
In circumstances involving serious unsportsmanlike behavior by a coach (such as, but not limited to, falsifying information, receiving two or more red cards during a season, using profane and abusive language, physical or verbal abuse, sexual harassment, fighting, and the like), the Board, in its sole discretion, by a majority vote, and within the appropriate regulations of the SCYSA, may caution, suspend, or remove a coach from a team.
Section 4.4 Red Cards
If a coach receives a red card, the coach should report the circumstances involving the card to the Board.
ARTICLE 5: BOARD OF DIRECTORS
Section 5.1 Tenure
Officers (and hence the Board) shall be elected annually and hold office until the next annual meeting of the general membership where their successors shall be elected. Officers (and hence directors) are eligible to succeed themselves.
Section 5.2: General Powers
The Board shall manage the business and affairs of the Club.
Section 5.3: Meetings
A regular meeting of the Board shall be held at least once every six months. Special meetings of the Board may be called by, or at the request of, the President or any other two (2) directors. Board meetings are open to all Club members, but only officers shall have voice and vote at these meetings.
Section 5.4: Quorum
A simple majority of the currently serving directors shall constitute a quorum for the transaction of business. A person holding more than one office shall count as only one director for the purpose of establishing a quorum.
Section 5.5: Manner of Acting
The Board shall act by the vote of a simple majority of directors present at a meeting where a quorum is present. A person holding more than one office shall have only one vote. In the event of a tie vote, the President's vote shall count twice in order to break the tie.
Section 5.6: Vacancies
Any vacancy in the Board may be filled by a simple majority vote of the remaining directors. A director so appointed to fill a vacancy shall do so for the unexpired term of his/her predecessor.
ARTICLE 6: DUTIES OF OFFICERS and DIRECTORS
Section 6.1 The President --
a) Shall be the principal officer of the Club and supervise all of the business affairs of the Club;
b) Shall, when present, preside at all meetings of the membership and Board;
c) May sign any instrument which the Board has authorized to be executed;
d) Shall serve as liaison between the SCYSA (or any other soccer association) and the Club;
e) Shall attend SCYSA workshops (currently once per year) as required for proper accreditation as a president;
f) Shall establish committees and appoint committee chairpersons to administer programs of the Club.
Section 6.2: The Vice President shall --
a) In the absence of the president, or in the event of the president's inability to act, perform the duties of the president;
b) Be the second liaison between the SCYSA (or any other soccer association) and the Club;
c) Be the liaison between all team coaches and managers and the Board;
d) Perform other duties as may be assigned by the president or the Board.
Section 6.3: The Secretary /Treasurer --
a) Keep the minutes of all meetings of the Board and of the general membership;
b) Duly give all notices for general membership meetings in accordance with these Bylaws;
c) Be custodian of all Club correspondence;
d) Shall, during meetings, advise the meeting as to the presence of a quorum;
e) Have charge and responsibility for all funds of the Club;
f) Receive moneys due and payable to the Club and disburse moneys due and payable by the Club;
g) Deposit moneys in the name of the Club in a bank selected by him/her and approved by the Board;
h) No later than September 1 of each calendar year, submit a budget to the Board for their consideration and acceptance or amendment;
i) Perform other duties as may be assigned by the president or the Board.
Section 6.4: The Registrar shall --
a) Work with team managers and coaches to see that each player is properly registered with the SCYSA and for any games or tournaments;
b) Maintain, as practical, a file of copies of birth certificates of all registered players;
c) Maintain a file of the current registration forms of all registered players;
d) Review all tournament registrations submitted by individual teams;
e) Attend SCYSA registration workshops (currently once per year) as required for accreditation as a registrar;
f) Perform other duties as may be assigned by the president or the Board.
Section 6.5: The Director of Coaching --
a) Recruit, train, and monitor team coaches;
b) Organize training clinics for coaches;
c) Organize or locate coaches clinics to ensure that current coaches are properly licensed and encourage them to attend;
d) Conduct a mentoring program for new coaches;
e) Review the circumstances involving any red cards received by a coach and make recommendations to the Board if disciplinary actions are necessary.
Section 6.6: The Training Coordinator --
a) Organize and implement training clinics for players as needed;
b) Organize and implement team clinics as needed;
c) Assist the Director of Coaching where needed.
Section 6.7 The Members-at-Large shall be assigned responsibilities by the Board such as the following --
a) Coordinate and promote the girls soccer teams;
b) Coordinate and promote the boys soccer teams;
c) Distribute publicity to area newsletters and other public information outlets;
d) Disseminate soccer-related information to all team coaches or managers;
e) Order soccer patches for tournament play;
f) Coordinate or oversee fund raising activities, if any, undertaken by a team or the Board;
g) Procure practice and game fields;
h) Perform other duties as may be assigned by the president or the Board.
Section 6.8: Assigning Coaches
A primary responsibility of the Board shall be the proper recruiting, and monitoring of team coaches. Coaches represent this Club and this community and serve at the sole pleasure of the Board. The Board, by majority vote, assigns coaches for teams.
Section 6.9: Monitoring Players and Their Parents
A second primary responsibility of the Board shall be the monitoring of team players and, if need be, their parents. Players represent this Club and this community and therefore play at the sole pleasure of the Board, within the appropriate regulations of the SCYSA. The Board assigns players to teams. At a minimum, the Board shall--
a) Encourage players to attend soccer camps or clinics as well as State Select Team tryouts;
b) Develop a two-way communication 1) between the Board and coaches and (2) between the Board and team players or their parents regarding players;
c) Review the circumstances involving any red cards received by a player during a match.
ARTICLE 7: RULES OF ORDER
Within reason, proceedings of the Club shall be conducted according to "Robert's Rules of Order."
ARTICLE 8: RULES and REGULATIONS
The Board shall approve and adopt rules, regulations, policies and procedures as necessary to govern the Club.
ARTICLE 9: DISSOLUTION
The Club can be dissolved by a majority vote of the Board or of the membership. In the event of dissolution any assets or funds of the Club, after payment of all liabilities, shall be distributed to a nonprofit, South Carolina group or association dedicated, in part or in entirety, to the betterment of soccer or distributed to a local school or schools with soccer programs.
ARTICLE 10: AMENDMENTS
These bylaws may be altered, amended, or repealed and new bylaws adopted by a majority vote of those members present at a duly called and constituted meeting of the membership.
